Au cours des dernières années, les organisations se sont surtout attardées à mettre en place de nouvelles structures de gouvernance. Un nombre plus important de membres indépendants sur les conseils et la formation de comités nous porte à conclure que les conseils d&#8217;administration sont maintenant devenus plus efficaces dans l’accomplissement de leur mandat. Malheureusement, ce n&#8217;est pas toujours le cas. Les conseils sont bel et bien en conformité avec les nouvelles législations et en harmonie avec les meilleures pratiques élaborées au fil du temps depuis la survenance des scandales financiers. Cependant, cela n’est pas garant d’une réelle valeur ajoutée à l&#8217;organisation. Il faut pousser la réflexion un peu plus loin.</span></span></p>
<p style="text-align: justify;"><span style="font-size: small;"><span style="color: black; font-family: Verdana;">Les organisations doivent également accorder beaucoup d’importance <span style="mso-spacerun: yes;"> </span>au recrutement d’administrateurs qui, de par leur profil et leur expérience, sauront apporter une contribution marquée au sein du conseil et de l&#8217;organisation. Elle est révolue l’époque o</span><span style="color: black; font-family: Arial;">ù</span><span style="color: black; font-family: Verdana;"> la nomination de ceux que l&#8217;on aimait, de ceux que nous connaissions ou de ceux que nous voulions tout simplement remercier pour services rendus était de mise. Le processus de sélection des administrateurs doit se faire avec autant de professionnalisme et de rigueur que la sélection d’un cadre supérieur au sein de l&#8217;organisation.</span></span></p>
<p style="text-align: justify;"><span style="color: black; font-family: Verdana;"><span style="font-size: small;">Après avoir identifié les besoins de l&#8217;organisation en tenant compte du type d&#8217;organisation (sociétés publiques, privées, sans but lucratif), de son secteur d&#8217;activités et de son cycle de vie, l’établissement d’une grille des compétences des membres du conseil est indispensable. Cela facilitera l’identification des compétences manquantes et ainsi la recherche de candidats. Il est primordial de bien diversifier les expertises et les expériences des administrateurs. Ces expertises et expériences doivent être complémentaires afin de former une équipe complète et capable collectivement de bien accomplir son rôle et ses responsabilités.</span></span></p>
<p style="text-align: justify;"><span style="color: black; font-family: Verdana;"><span style="font-size: small;">Bien évidemment, certains conseils, de par la nature de leurs activités et le type d&#8217;organisation qu’ils gèrent, font face à des contraintes dans le recrutement des administrateurs et n’ont ainsi pas toute la latitude souhaitée pour mettre en place un processus de recrutement optimal. Ces conseils doivent composer avec ces contraintes et malgré tout, tendre le plus possible vers une complémentarité des compétences des administrateurs. Par exemple, certains conseils d’administration doivent composer avec la nomination imposée d’une portion de ces administrateurs par un partenaire financier important. Ces conseils doivent compléter les expertises de ces administrateurs et ainsi recruter des administrateurs ayant des compétences complémentaires à ceux-ci.</span></span></p>
<p style="text-align: justify;"><span style="color: black; font-family: Verdana;"><span style="font-size: small;">Le même exercice doit être fait lors de la formation des comités du conseil d&#8217;administration. Avoir les ressources adéquates sur les différents comités est essentiel au bon fonctionnement du conseil. Certaines organisations, comme par exemple les sociétés d&#8217;état, n&#8217;ont pas beaucoup d&#8217;influence lors du recrutement des administrateurs. Dans ces cas, l&#8217;exercice de veiller à la composition adéquate des comités se révèle être une opportunité permettant de s&#8217;assurer de l’optimisation de l’expertise professionnelle des administrateurs au sein de ces comités.</span></span></p>
<p style="text-align: justify;"><span style="color: black; font-family: Verdana;"><span style="font-size: small;">Inutile de mentionner qu’au-delà de la structure de gouvernance, du processus de recrutement et des expertises complémentaires de chacun des administrateurs, la clé du succès d’un conseil réside dans le recrutement d’administrateurs qui <strong><span style="font-weight: normal; font-family: Verdana; mso-bidi-font-weight: bold;">s&#8217;intéressent</span></strong> à l&#8217;organisation, qui veulent <strong><span style="font-weight: normal; font-family: Verdana; mso-bidi-font-weight: bold;">s&#8217;impliquer</span></strong> au sein du conseil et surtout des administrateurs qui veulent <strong><span style="font-weight: normal; font-family: Verdana; mso-bidi-font-weight: bold;">prendre le temps de bien connaître</span></strong> l&#8217;organisation.</span></span></p>
